Welcome to ArtistPayDay.com ("we," "us," or "our"), operated by StoneBridge Digital, LLC. These Terms of Service ("Terms") govern your use of our website ArtistPayDay.com (the "Website") and the services provided through it. By accessing or using the Website, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Website.

1. Acceptance of Terms

By registering an account, accessing, or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms apply to all users, including Artists and Publishers.

2. Eligibility

You must be at least 16 years old and have the legal capacity to enter into a binding agreement to use the Website. By using the Website, you represent that you meet these eligibility requirements. We reserve the right to refuse service to anyone who does not meet these criteria.

3. Account Responsibilities

You are responsible for:

  • Providing accurate, complete, and up-to-date information during registration and in your account profile.
  • Maintaining the security of your account by keeping your password confidential and not sharing it with others.
  • Notifying us immediately at Support@artistpayday.com if you suspect unauthorized access to your account.

We are not responsible for any losses or damages resulting from your failure to comply with these obligations.

4. Services Provided

ArtistPayDay.com is a platform that facilitates accounting for payments between Publishers and Artists. Publishers and Artists use the Website to record and track payment transactions. Payments are not initiated through the Website; Publishers initiate payments to Artists directly using PayPal or their bank website, and the Website serves as a record-keeping tool for these transactions. We are not a party to any agreements between Publishers and Artists.

5. Payment Terms

5.1. For Artists

Artists must provide valid PayPal or bank information to enable Publishers to make payments. Payments are initiated by Publishers directly through PayPal or their bank website, not through ArtistPayDay.com. The Website records these transactions for accounting purposes. We are not responsible for delays, errors, or fees imposed by PayPal, banks, or other third-party payment processors.

5.2. For Publishers

Publishers are responsible for initiating payments to Artists outside the Website using PayPal or their bank website. Publishers use the Website to record these transactions for accounting purposes. We are not responsible for disputes between Publishers and Artists regarding payment amounts or services rendered.

5.3. Fees

Artists are not charged fees for using the Website. Publishers are required to pay a monthly fee to use the Website’s accounting services. The current fee structure is available upon request. Third-party payment processors (e.g., PayPal or banks) may charge transaction fees, which are the responsibility of the parties involved in the payment. We reserve the right to modify our fee structure in the future, with prior notice to users.

6. Prohibited Activities

You agree not to engage in any of the following activities:

  • Using the Website for any illegal or unauthorized purpose, including fraud, money laundering, or other criminal activities.
  • Attempting to gain unauthorized access to the Website, other user accounts, or our systems.
  • Uploading or sharing content that is unlawful, defamatory, obscene, or infringes on the rights of others.
  • Interfering with the operation of the Website, including introducing viruses, malware, or other harmful code.

We monitor user activity, including IP addresses, to detect and prevent prohibited activities. We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, if you violate these Terms, engage in prohibited activities, or for any other reason we deem necessary (e.g., non-payment of fees by Publishers). Upon termination:

  • Your access to the Website will be revoked.
  • Your data will be retained or deleted as outlined in our Privacy Policy.

You may terminate your account at any time by contacting us at Support@artistpayday.com. Upon termination, your data will be handled in accordance with our Privacy Policy.

9. Liability and Disclaimers

The Website is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the availability, accuracy, or reliability of the Website or its services. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We are not liable for any damages, including but not limited to direct, indirect, incidental, or consequential damages, arising from your use of the Website, including:

  • Service interruptions or data loss.
  • Disputes between Publishers and Artists regarding payment amounts or services rendered.
  • Errors or delays caused by third-party payment processors.

Our total liability to you for any claim arising from these Terms or your use of the Website will not exceed the total fees paid by you (if any) in the preceding 12 months, or $100 USD, whichever is greater.

10. Dispute Resolution

These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Website will be resolved through binding arbitration in Corvallis, Oregon, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the above, we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or enforce these Terms.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or legal requirements. We will notify you of significant changes by posting a notice on the Website or, for registered users, via email. The updated Terms will be effective upon posting. Your continued use of the Website after such changes constitutes your acceptance of the updated Terms.
